1. Introduction
This Terms of Service (“Agreement”) governs all services provided by A. Studio, including but not limited to CRM setup, funnel building, GoHighLevel (GHL) SaaS services, automation workflows, and digital marketing services. By purchasing or using our services, you agree to these terms.
2. Scope of Services
Our services may include:
1. CRM (GoHighLevel) setup & management
2. Funnel design & implementation
3. Automation workflows (email, SMS, WhatsApp)
4. SaaS sub-account provisioning
5. Paid ads management & consulting
6. General marketing strategy & implementation
7. Social Media Management
Exact deliverables will be defined in your package, proposal, or invoice.
3. SaaS Access & Platform Control
If you are provided access to our SaaS platform:
1. Access is limited, non-transferable, and revocable
2. We retain full backend administrative control
3. Any misuse, spam activity, or policy violation may result in immediate suspension or termination without notice
4. Accounts remain property of the agency unless otherwise agreed in writing
4. Payments & Billing
1. All payments must be made upfront unless otherwise agreed
2. SaaS or subscription services are billed monthly
3. Late payments may result in service suspension
4. No deliverables will be released until payment is cleared
5. Refund Policy
Due to the custom and digital nature of services:
1. All payments are strictly non-refundable once work has started
2. No refunds will be issued for completed, partially completed, or ongoing work
3. Refund requests for unused services before initiation may be considered at agency discretion
6. Performance Disclaimer
We do not guarantee:
1. Sales, leads, or revenue outcomes
2. Ad performance results
3. Specific ROI or conversion rates
Marketing results depend on multiple external factors including market conditions, budget, and client offer quality.
7. Client Responsibilities
Clients agree to:
1. Provide timely access, approvals, and required information
2. Ensure accuracy of all submitted data
3. Respond within reasonable timeframes to avoid delays
4. Delays caused by client inactivity do not affect billing or deadlines.
8. Intellectual Property
All systems, automations, funnels, and workflows built remain property of the agency unless full ownership is explicitly transferred in writing Upon full payment, clients receive usage rights for final deliverables. Agency reserves the right to showcase work in portfolio unless agreed otherwise.
9. Third-Party Platforms
We are not responsible for:
1. Meta (Facebook/Instagram) ad account bans
2. Google policy restrictions
3. GoHighLevel or other tool downtime
4. Third-party API changes or service disruptions
10. Limitation of Liability
1. Our liability is strictly limited to the amount paid for services
2. We are not liable for indirect losses, business interruption, or lost profits
3. Clients assume full responsibility for business decisions and ad spend
11. Termination
We reserve the right to:
1. Suspend or terminate services for violation of terms
2.Terminate accounts for abuse, harassment, or non-payment
3. No refunds will be issued after termination due to violation.
Client can terminate services at their discretion with no refund, if the services have initiated.
12. Confidentiality
All client data, credentials, and business information are kept confidential and will not be shared with third parties unless required by law.
13. Changes to Terms
We may update these Terms at any time. Continued use of services indicates acceptance of updated terms.
14. Governing Law
This Agreement shall be governed by applicable laws in the relevant jurisdiction where the agency operates.
